Terms and Conditions (English)

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and EZ Church LLC ("EZChurch," "we," "us," or "our"), governing your access to and use of the EZChurch web platform at ezchurch.org (the "Platform"), our mobile applications for Android and iOS (the "Mobile App"), and all related services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

2. Description of Services

EZChurch is a bookkeeping and financial record-keeping software designed exclusively for churches and religious organizations operating in the United States. The Services provide tools for:

• Recording tithes, offerings, donations, income, and expenses.
• Managing member catalogs, donor profiles, income categories, and expense categories.
• Generating financial reports in PDF and Excel formats.
• Performing automated data backups via email.
• Accessing data through the Mobile App for member registration, donation record entry, and expense record entry.

3. Account Registration and Responsibilities

3.1 Account Creation

To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Church Administrator Responsibility

The church administrator who registers the organization's account is solely responsible for:

• The accuracy and legality of all data entered into the system.
• Managing access permissions for authorized users within their organization.
• Ensuring compliance with applicable tax, financial reporting, and regulatory requirements.
• Maintaining adequate independent records and backups of financial data outside of EZChurch.
• All member data entered or managed through the Mobile App by their church members.

3.3 Mobile App Users

Members who use the Mobile App must be authorized by their church administrator. Mobile App users are responsible for:

• The accuracy of information they submit, including donation and expense records.
• The content of any images uploaded as supporting documentation.
• Maintaining the security of their account credentials.

4. Cloud Data Storage and Synchronization

To enable the functionality of the Mobile App, certain data is stored in the cloud and synchronized between the Platform and the Mobile App, including but not limited to:

• Offering type catalogs and categories.
• Income type catalogs and classifications.
• Expense type catalogs and categories.
• Member directories, donor profiles, and identification codes.
• Images uploaded as record attachments.

You acknowledge and agree that:

• Cloud synchronization is subject to internet connectivity and may experience delays or interruptions.
• Cached data on mobile devices is stored temporarily and may be purged by the operating system.
• EZChurch is not responsible for data loss resulting from device failure, operating system updates, app uninstallation, or connectivity issues.

5. Subscription and Payment

Access to the Services requires a paid subscription managed through Stripe. Subscription terms, pricing, and billing cycles are as described at the time of purchase. Payment processing for subscriptions is handled exclusively by Stripe, Inc. and is subject to Stripe's terms of service and privacy policy.

This is the only financial transaction involving EZChurch — the billing of subscription fees for access to the platform. No other monetary transactions are processed by or through the Services.

6. Intellectual Property

All content, features, functionality, software, designs, text, graphics, logos, and trademarks associated with the Services are and shall remain the exclusive property of EZ Church LLC or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

7. Acceptable Use

You agree NOT to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Upload, transmit, or store any content that is illegal, defamatory, obscene, fraudulent, or infringes on the rights of others.
• Attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to process, facilitate, or record money laundering, fraud, or any illegal financial activity.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Services.
• Use automated systems (bots, scrapers, etc.) to access the Services without our written permission.
• Upload images containing illegal, explicit, or inappropriate content through the Mobile App.

9. Indemnification

You agree to indemnify, defend, and hold harmless EZ Church LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or inability to use the Services.
• Your violation of these Terms.
• Your violation of any rights of any third party.
• Any data, content, or images you submit, upload, or transmit through the Services.
• Any tax, financial, or regulatory non-compliance by your organization.
• Any claims by members of your church or organization arising from data entered into the Services.
• Any reliance on financial records, reports, or calculations generated by the Services.

10. Data Accuracy and Financial Responsibility

EZChurch is a record-keeping tool only. You acknowledge and agree that:

• You are solely responsible for the accuracy, completeness, and legality of all data entered into the Services.
• Financial reports generated by the Services are based entirely on user-entered data and should not be considered as audited financial statements, tax documents, or certified records.
• You should independently verify all financial data and consult with a qualified accountant, CPA, or financial advisor before making financial decisions based on information from the Services.
• EZChurch is not responsible for any tax penalties, regulatory fines, financial losses, or legal consequences resulting from reliance on data or reports generated by the Services.
• Automated backup emails are provided as a convenience feature and should not be your sole backup strategy. You are responsible for maintaining independent backups of your critical data.

11. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice, for any reason. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

Scheduled maintenance, system updates, and unforeseen technical issues may cause temporary service interruptions. We will make commercially reasonable efforts to minimize downtime but do not guarantee continuous availability.

12. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination:

• Your right to use the Services will immediately cease.
• We may delete your data after a commercially reasonable retention period.
• You are responsible for exporting any data you wish to retain before termination.
• Provisions of these Terms that by their nature should survive termination shall survive (including, without limitation, Sections 8, 9, 10, 14, and 15).

13. Force Majeure

EZChurch shall not be liable for any failure or delay in performing its obligations under these Terms caused by events beyond its reasonable control, including but not limited to: natural disasters, acts of God, pandemics, epidemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, hardware failures, software bugs, third-party service outages, or any other event outside of our reasonable control.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.

14.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in the State of New Jersey. The decision of the arbitrator shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against EZ Church LLC.

14.4 Small Claims Court

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and EZ Church LLC regarding the Services and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: The failure of EZChurch to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
• Notices: We may provide notices to you through the Platform, the Mobile App, email, or other reasonable means.

16. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Material changes may be communicated via email or in-app notification. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

Estos Términos y Condiciones ("Términos") constituyen un acuerdo legalmente vinculante entre usted ("Usuario", "usted") y EZ Church LLC ("EZChurch", "nosotros", "nuestro"), que rigen su acceso y uso de la plataforma web EZChurch en ezchurch.org (la "Plataforma"), nuestras aplicaciones móviles para Android e iOS (la "App Móvil"), y todos los servicios relacionados (colectivamente, los "Servicios").

AL ACCEDER O UTILIZAR LOS SERVICIOS, USTED ACEPTA ESTAR SUJETO A ESTOS TÉRMINOS. SI NO ESTÁ DE ACUERDO CON TODOS ESTOS TÉRMINOS, NO ACCEDA NI UTILICE LOS SERVICIOS.

2. Descripción de los Servicios

EZChurch es un software de contabilidad y registro financiero diseñado exclusivamente para iglesias y organizaciones religiosas que operan en los Estados Unidos. Los Servicios proporcionan herramientas para:

• Registrar diezmos, ofrendas, donaciones, ingresos y gastos.
• Gestionar catálogos de miembros, perfiles de donadores, categorías de ingresos y categorías de gastos.
• Generar reportes financieros en formatos PDF y Excel.
• Realizar respaldos automáticos de datos por correo electrónico.
• Acceder a datos a través de la App Móvil para registro de miembros, ingreso de registros de donaciones e ingreso de registros de gastos.

3. Registro de Cuenta y Responsabilidades

3.1 Creación de Cuenta

Para usar los Servicios, debe crear una cuenta y proporcionar información precisa, completa y actualizada. Usted es responsable de mantener la confidencialidad de sus credenciales de cuenta y de todas las actividades que ocurran bajo su cuenta.

3.2 Responsabilidad del Administrador de la Iglesia

El administrador de la iglesia que registra la cuenta de la organización es el único responsable de:

• La precisión y legalidad de todos los datos ingresados en el sistema.
• Gestionar los permisos de acceso para usuarios autorizados dentro de su organización.
• Garantizar el cumplimiento de los requisitos fiscales, de informes financieros y regulatorios aplicables.
• Mantener registros y respaldos independientes adecuados de datos financieros fuera de EZChurch.
• Todos los datos de miembros ingresados o gestionados a través de la App Móvil por los miembros de su iglesia.

3.3 Usuarios de la App Móvil

Los miembros que usen la App Móvil deben ser autorizados por el administrador de su iglesia. Los usuarios de la App Móvil son responsables de:

• La precisión de la información que envían, incluyendo registros de donaciones y gastos.
• El contenido de cualquier imagen cargada como documentación de respaldo.
• Mantener la seguridad de sus credenciales de cuenta.

4. Almacenamiento de Datos en la Nube y Sincronización

Para habilitar la funcionalidad de la App Móvil, ciertos datos se almacenan en la nube y se sincronizan entre la Plataforma y la App Móvil, incluyendo pero no limitado a:

• Catálogos y categorías de tipos de ofrenda.
• Catálogos y clasificaciones de tipos de ingresos.
• Catálogos y categorías de tipos de gastos.
• Directorios de miembros, perfiles de donadores y códigos de identificación.
• Imágenes subidas como adjuntos de registros.

Usted reconoce y acepta que:

• La sincronización en la nube está sujeta a conectividad de internet y puede experimentar retrasos o interrupciones.
• Los datos en caché en dispositivos móviles se almacenan temporalmente y pueden ser purgados por el sistema operativo.
• EZChurch no es responsable por la pérdida de datos resultante de fallas del dispositivo, actualizaciones del sistema operativo, desinstalación de la app o problemas de conectividad.

5. Suscripción y Pago

El acceso a los Servicios requiere una suscripción pagada gestionada a través de Stripe. Los términos de suscripción, precios y ciclos de facturación son los descritos al momento de la compra. El procesamiento de pagos para suscripciones es manejado exclusivamente por Stripe, Inc. y está sujeto a los términos de servicio y política de privacidad de Stripe.

Esta es la única transacción financiera que involucra a EZChurch — la facturación de tarifas de suscripción para acceso a la plataforma. Ninguna otra transacción monetaria es procesada por o a través de los Servicios.

6. Propiedad Intelectual

Todo el contenido, características, funcionalidad, software, diseños, texto, gráficos, logotipos y marcas comerciales asociadas con los Servicios son y seguirán siendo propiedad exclusiva de EZ Church LLC o sus licenciantes. Usted no puede copiar, modificar, distribuir, vender o arrendar ninguna parte de los Servicios sin nuestro consentimiento previo por escrito.

7. Uso Aceptable

Usted acepta NO:

• Usar los Servicios para cualquier propósito ilegal o en violación de cualquier ley o regulación aplicable.
• Cargar, transmitir o almacenar contenido que sea ilegal, difamatorio, obsceno, fraudulento o que infrinja los derechos de otros.
• Intentar obtener acceso no autorizado a los Servicios, otras cuentas, sistemas informáticos o redes.
• Interferir o interrumpir la integridad o el rendimiento de los Servicios.
• Usar los Servicios para procesar, facilitar o registrar lavado de dinero, fraude o cualquier actividad financiera ilegal.
• Realizar ingeniería inversa, descompilar, desensamblar o intentar derivar el código fuente de los Servicios.
• Usar sistemas automatizados (bots, scrapers, etc.) para acceder a los Servicios sin nuestro permiso escrito.
• Cargar imágenes con contenido ilegal, explícito o inapropiado a través de la App Móvil.

8. Descargo de Responsabilidad y Limitación de Responsabilidad

Usted acepta indemnizar, defender y mantener indemne a EZ Church LLC, sus directivos, directores, empleados, agentes y afiliados de y contra cualquier y toda reclamación, demanda, daño, pérdida, responsabilidad, costo y gasto (incluyendo honorarios razonables de abogados) que surjan de o estén relacionados con:

• Su uso o incapacidad de usar los Servicios.
• Su violación de estos Términos.
• Su violación de cualquier derecho de un tercero.
• Cualquier dato, contenido o imagen que usted envíe, cargue o transmita a través de los Servicios.
• Cualquier incumplimiento fiscal, financiero o regulatorio por parte de su organización.
• Cualquier reclamación de miembros de su iglesia u organización derivada de datos ingresados en los Servicios.
• Cualquier dependencia en registros financieros, reportes o cálculos generados por los Servicios.

10. Precisión de Datos y Responsabilidad Financiera

EZChurch es solo una herramienta de registro. Usted reconoce y acepta que:

• Usted es el único responsable de la precisión, integridad y legalidad de todos los datos ingresados en los Servicios.
• Los reportes financieros generados por los Servicios se basan enteramente en datos ingresados por el usuario y no deben considerarse como estados financieros auditados, documentos fiscales o registros certificados.
• Debe verificar independientemente todos los datos financieros y consultar con un contador calificado, CPA o asesor financiero antes de tomar decisiones financieras basadas en información de los Servicios.
• EZChurch no es responsable de ninguna penalización fiscal, multa regulatoria, pérdida financiera o consecuencia legal resultante de la dependencia en datos o reportes generados por los Servicios.
• Los correos electrónicos de respaldo automático se proporcionan como una función de conveniencia y no deben ser su única estrategia de respaldo. Usted es responsable de mantener respaldos independientes de sus datos críticos.

11. Disponibilidad y Modificaciones del Servicio

Nos reservamos el derecho de modificar, suspender o discontinuar los Servicios (o cualquier parte de los mismos) en cualquier momento, con o sin previo aviso, por cualquier razón. No seremos responsables ante usted ni ante ningún tercero por cualquier modificación, suspensión o discontinuación de los Servicios.

12. Terminación

Podemos terminar o suspender su cuenta y acceso a los Servicios de inmediato, sin previo aviso ni responsabilidad, por cualquier razón, incluyendo pero no limitado a una violación de estos Términos. Tras la terminación:

• Su derecho a usar los Servicios cesará inmediatamente.
• Podemos eliminar sus datos después de un periodo de retención comercialmente razonable.
• Usted es responsable de exportar cualquier dato que desee conservar antes de la terminación.

13. Fuerza Mayor

EZChurch no será responsable por cualquier falla o retraso en el cumplimiento de sus obligaciones bajo estos Términos causados por eventos fuera de su control razonable, incluyendo pero no limitado a: desastres naturales, actos de Dios, pandemias, epidemias, guerra, terrorismo, disturbios, acciones gubernamentales, fallas de energía, fallas de internet o telecomunicaciones, ciberataques, fallas de hardware, errores de software, interrupciones de servicios de terceros o cualquier otro evento fuera de nuestro control razonable.

14. Ley Aplicable y Resolución de Disputas

14.1 Ley Aplicable

Estos Términos se regirán e interpretarán de acuerdo con las leyes del Estado de Nueva Jersey, Estados Unidos, sin considerar sus disposiciones sobre conflicto de leyes.

14.2 Arbitraje

Cualquier disputa, controversia o reclamación que surja de o esté relacionada con estos Términos o los Servicios será resuelta mediante arbitraje vinculante administrado por la Asociación Americana de Arbitraje (AAA) bajo sus Reglas de Arbitraje Comercial, llevado a cabo en el Estado de Nueva Jersey. La decisión del árbitro será final y vinculante.

14.3 Renuncia a Acción Colectiva

USTED ACEPTA QUE CUALQUIER PROCEDIMIENTO DE RESOLUCIÓN DE DISPUTAS SE CONDUCIRÁ SOLO DE FORMA INDIVIDUAL Y NO EN UNA ACCIÓN COLECTIVA, CONSOLIDADA O REPRESENTATIVA. Usted renuncia a cualquier derecho de participar en una demanda colectiva o arbitraje colectivo contra EZ Church LLC.

• Acuerdo Completo: Estos Términos, junto con nuestro Aviso de Privacidad, constituyen el acuerdo completo entre usted y EZ Church LLC respecto a los Servicios.
• Divisibilidad: Si alguna disposición de estos Términos se considera inválida o inaplicable, las disposiciones restantes permanecerán en pleno vigor.
• Renuncia: El hecho de que EZChurch no haga cumplir cualquier derecho o disposición de estos Términos no constituirá una renuncia a dicho derecho o disposición.
• Cesión: Usted no puede ceder ni transferir estos Términos sin nuestro consentimiento escrito. Podemos ceder nuestros derechos y obligaciones sin restricción.
